VISION STATEMENT


The purpose of this Guild is for the promotion of the various arts of woodcrafting, including but not limited to: carving, furniture making, sculpture, finishing, re-finishing, design, and any other products alone or in combination with any other medium. It shall also be the purpose of this Guild to provide its membership and the woodcrafting community the following benefits:

NAME:
The organization shall hereinafter be called the “Southern Cascade Woodcrafter's Guild”

MEMBERSHIP

  1. Membership shall be opened to anyone expressing an interest in woodcrafting as described in the Vision Statement, and filing an application for membership with the Treasurer.
  2. There will be no geographical limits nor age restrictions. (Provided adequate supervision is given to youngsters)
  3. An annual membership of $25 for individuals and $35 for families is required to provide a fund for use as operating capital. Other monies may be collected in the forms of ticket sales, and other fund-raising events.
  4. Membership shall commence upon receipt of dues. Dues will be collected by December 31st and is considered late on January 1st. Dues paid after January will incur a $5 penalty. Members whose dues are more than thirty days delinquent must re-apply for membership or will be dropped from the membership.
  5. There is no membership fee for any member with 25 years or more of membership.
  6. New members shall have a “sponsor” assigned to them to assist in their orientation to the Guild. New members may not use any of the power equipment located at the Guild without the sponsor or the sponsor's assignee being present for the first full year of membership.

OFFICERS and ELECTIONS

  1. The Guild shall have a six (6) member Board of Directors elected by a majority ballot at a Guild meeting for terms of duty of three years. Each year two positions will come up for election.
  2. Other Officers will consist of a President, Vice-President, Secretary and Treasurer which will be elected by a majority ballot at a Guild meeting.
  3. The election process is as follows:
    1. A nomination committee of three shall be appointed by the President (or ranking Officer) at the October Guild meeting.
    2. he committee will report their nominees at the November Guild meeting and any additional nominations from the floor will also will be accepted at this time.

    4. The election of the President and Secretary will be in December of every “even” year for a two (2) year term, which will start on January 1st following the election.
    5. The election for the Vice President and Treasurer will be in December of every “odd” year for a two (2) year term, which will start on January 1st following the election

EXECUTIVE BOARD
The Board of Directors combined with the Officers of the Guild shall be called the Executive Board (EB).
DUTIES OF THE EXECUTIVE BOARD:
  1. The duties of the EB shall include the appointment of committees as needed and for the general direction of the Guild.
  2. Board meetings will be held as required, or when requested to discuss the agenda and any business to be presented. A quorum of no fewer than four (4) Directors and one (1) Officer are required at all Board meetings.
  3. The EB shall execute the instructions of the membership and have the power to direct the working of the Guild.
  4. Any action taken by the EB may be modified or reversed at a Guild meeting.
THE DUTIES OF THE OFFICERS WILL BE AS FOLLOWS:
President:
  1. Open and conduct the regular Guild meetings and the EB.
  2. Act as spokesperson for the Guild.
  3. Supervise the proceedings of the EB and the Guild as a whole.
  4. Lead the Guild to a more productive future.
Vice President:
  1. Same as the President in his/her absence and any duties assigned by the EB.
Secretary:
  1. Record the minutes of all meetings.
  2. Prepare and distribute all meeting notices including notices in local media.
Treasurer:
  1. Maintain membership files.
  2. Establish and maintain an account with a local financial institution for the purpose of collection and depositing dues and other monies.
  3. Paying bills incurred by the Guild.
  4. All monies paid by check shall be approved by the membership and shall be signed by Treasurer or the President or Vice President. However, ALL checks must be signed by two of these officers.
GUILD MEETINGS:
  1. The Guild will meet on a monthly basis open to all members in good standing and anyone desiring to become a member and guests.
  2. The Officers can cancel any meeting due to inclement weather or other unforeseen reasons.
  3. Guild meetings will be held at 2:00 pm on the first Saturday of the month at the Mt. Laki church on Hwy 39 south of Klamath Falls. Meetings are held in the hall behind the church.
  4. The order of business at the Guild meeting will be conducted as follows:
  1. Call to order by the ranking Officer.
  2. Roll call of the Officers.
  3. Report of the Officers and Committees.
  4. Old Business.
  5. New Business.
  6. Election of Officers and Board members when required per Article III.
  7. Activities. (Demonstrations, speakers, films)
  8. Announcements.
  9. Adjournment of the business part of the meeting and open floor

AMENDMENTS
  1. This Constitution may be amended at any time by a motion of a member or by a motion of the EB and presented to a majority of the membership at a Guild meeting.
  2. A majority vote will be required to adopt any amendment and if passed will become effective at once.
  3. The Treasurer is to file with the IRS, a 501 (c) (3) yearly update between January 1st and April 15th.
  4. The Guild's fiscal year will run from January 1st to December 31st.

A NON-PROFIT ASSOCIATION



Undersigned incorporators, in order to form a non-profit association under the laws of the state Oregon, adapt the following Articles of Association


  1. The name of this association shall be: Southern Cascade Woodcrafters Guild.
  2. The principle place of business shall be:12570 hiiway 39 Klamath Falls, OR 97603. Mailing Address: 6510 #89 South 6th St. Klamath Falls,Or 97603
  3. The specific purposes for which this association is organized are:
  1. For charitable and educational purposes under section 501(c)(3) of the internal Revenue Code, or corresponding section on any future tax code
  2. Education and Instructions of all types of Woodworking.
  3. A show place to exhibit products and talents to the general public and peers.
  4. Possible discount and volume buying power for supplies.
  5. Promote woodworking by allowing the community, especially children, to participate in hands-on project building.
  1. This Association will have no capital stock and not engage in business for profit, but shall be supported by gifts, bequests, benefits,contribution and dues paid by members. Membership in the association shall be goverened and controlled as provided in the By-Laws of the Guild.
    No part of earnings, income or recipts of this association shall ever inure to the benefit of or distributed to any individual, member or members of this association.
